1. Scope of Application

These Terms govern all engagements, services, and interactions with Optirex Consulting (Pty) Ltd. Engagement constitutes acceptance of the commercial structure, delivery model, and governance conditions applied.

2. Jurisdiction

Optirex Consulting (Pty) Ltd is governed in Gauteng, Republic of South Africa. All engagements, disputes, and interpretations fall under this jurisdiction.

3. Commercial Engagement Structure

Engagements are structured to establish, validate, and enforce commercial architecture capable of withstanding independent verification. This includes application of The Revenue Durability Framework™, The VECTOR Commercial Architecture Model™, The QoE Revenue Validation Toolkit™, and The RPI Standard™ where required.

4. Intellectual Property and Brand Protection

The name Optirex Consulting, its logo, and all associated visual identity elements are the exclusive property of Optirex Consulting (Pty) Ltd and are protected under applicable intellectual property and copyright law.

All proprietary frameworks, methodologies, and systems, including The Revenue Durability Framework™, The VECTOR Commercial Architecture Model™, The QoE Revenue Validation Toolkit™, and The RPI Standard™, remain the sole property of Optirex Consulting (Pty) Ltd.

No rights, licenses, or permissions are granted to use, reproduce, modify, or distribute any intellectual property, branding, or materials without prior written consent.

5. Use of Output

Outputs provided are intended for internal commercial use. Redistribution, replication, or external use without written consent is not permitted.

6. Liability Limitation

Optirex Consulting (Pty) Ltd shall not be liable for indirect or consequential losses arising from external commercial conditions, internal execution decisions, or reliance on incomplete data.

7. Data and Confidentiality

All information shared during engagement is treated as confidential and handled in accordance with applicable data protection regulations, including POPIA and GDPR where applicable.

8. Termination

Engagements may be terminated under agreed contractual conditions. Obligations relating to confidentiality and intellectual property remain in force post-termination.
